1. Introduction & Acceptance

These Terms of Service ("Terms") govern your access to and use of the Strat Intelligence website, mobile application, and related services (collectively, the "Service") operated by Strat Intelligence ("Strat," "we," "us," or "our").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of Service

Strat Intelligence provides an AI-powered Instagram analytics and content strategy platform. The Service analyzes your Instagram engagement data—including reach, impressions, audience behavior, and post performance—to generate a personalized 90-day content playbook designed to help you convert followers into customers.

3. Eligibility

You must be at least 18 years old to use the Service. By using Strat, you represent and warrant that you have the legal authority to agree to these Terms and that you have authorization to connect and analyze the Instagram account(s) you provide.

4. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or use of your account. We are not liable for any loss or damage arising from your failure to protect your account information.

5. Pricing & Payment

  • • Subscription: The Service is offered at $1/day, billed quarterly ($30 per quarter).
  • • Billing: Your subscription renews automatically at the end of each billing period unless you cancel before the renewal date.
  • • Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. No partial refunds are provided for unused time within a billing cycle.
  • • Price Changes: We reserve the right to modify pricing with at least 30 days' notice. Continued use after a price change constitutes acceptance of the new pricing.

6. Intellectual Property

  • • Your Playbooks: The content playbooks generated for you are yours to use freely for your business. You retain full rights to implement, share, and build upon your playbook content.
  • • Our Platform: The Strat Intelligence platform, including its AI models, algorithms, interface design, branding, and underlying technology, remains the exclusive property of Strat Intelligence. You may not copy, reverse-engineer, or create derivative works from the Service.

7. Acceptable Use

You agree not to:

  • • Use the Service to scrape, harvest, or collect data from Instagram in violation of Instagram's terms.
  • • Resell, redistribute, or white-label the Service or its outputs without written permission.
  • • Attempt to reverse-engineer, decompile, or extract source code from the Service.
  • • Use the Service for any unlawful, abusive, or fraudulent purpose.
  • • Interfere with or disrupt the integrity or performance of the Service.

8. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee specific results, revenue increases, follower growth, or engagement improvements from using the Service. Our playbooks are strategic recommendations based on data analysis and should not be construed as financial, legal, or professional marketing advice. You are solely responsible for how you implement the recommendations provided.

9. Limitation of Liability

To the maximum extent permitted by law, Strat Intelligence shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from your use of the Service. Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you have paid us in the 12 months preceding the claim.

10. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. Sections relating to intellectual property, disclaimers, limitation of liability, and governing law survive termination.

11. Instagram & Meta Disclaimer

Strat Intelligence is an independent business tool and is not affiliated with, endorsed by, or sponsored by Meta Platforms, Inc. Instagram® is a registered trademark of Meta Platforms, Inc. Your use of Instagram is governed by Instagram's own Terms of Use and policies.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware.

13. Changes to Terms

We may revise these Terms at any time. When we do, we will update the "Last updated" date at the top of this page. For material changes, we will provide at least 30 days' notice via email or a prominent notice within the Service. Your continued use of the Service after revised Terms take effect constitutes acceptance of the changes.
